Terms of Service
Last updated: 13 September 2026
These terms govern your use of PurpleDue, a UK-focused receivables-tracking tool for freelancers and small service businesses. By creating a PurpleDue account, you agree to these terms.
1. Who you're contracting with
PurpleDue is a trading name of Cletus Osei-Kwame, a sole trader based in Scotland, United Kingdom. “PurpleDue”, “we”, “us”, and “our” refer to that sole trader. PurpleDue is not a registered company, is not incorporated, and is not VAT-registered.
2. Beta status
PurpleDue is in beta. Features may change, and you may occasionally encounter errors or interruptions as we improve the product. We may use feedback you give us during beta to improve the service. Beta status does not mean we treat the service casually — it means we are upfront that this is an early-stage product, still being validated with a small number of real businesses, rather than a long-established platform.
3. Eligibility and your account
PurpleDue is designed for freelancers, consultants, agencies, and small UK service businesses issuing invoices to other businesses. You must be at least 18, and you must be the genuine owner or authorised representative of any business account you create.
PurpleDue uses passwordless “magic link” sign-in: we email you a one-time link instead of using a password. You are responsible for keeping access to the inbox you sign in with secure, since that inbox is effectively your account credential.
4. Your authority over uploaded data
When you hand an invoice to PurpleDue, you confirm that you are entitled to submit it and to share the client/customer information it contains with us for the purpose of tracking and following up on that invoice. You are responsible for the lawfulness of sharing that information, including under any obligations you owe your own client or customer.
5. Invoice accuracy and confirmation
PurpleDue attempts to automatically read the details of an invoice you hand off, but nothing becomes part of your tracked record until you personally review and confirm it (correcting anything that is wrong or incomplete first). Once confirmed, those details — client name, client email, invoice number, amount, currency, dates — are treated as authoritative unless you later correct them. You are responsible for checking this information before confirming.
6. PurpleDue's role
PurpleDue is a tracking and follow-up tool. It is not:
- an accounting or invoicing system — it does not replace whatever you already use to create and send invoices;
- a payments processor for your invoices — PurpleDue does not collect payment from your clients on your behalf;
- a debt collection agency — PurpleDue does not itself pursue, negotiate, or enforce payment; and
- a law firm or a source of legal representation (see “No legal advice” below).
PurpleDue does not automatically detect that you have been paid, read or classify your clients' replies, monitor your bank account, or contact your clients on its own initiative. You remain in control of every message that goes out.
7. AI extraction limitations
Invoice-detail extraction is performed automatically and may be incomplete, incorrect, or blank for a given field — particularly for unusual invoice layouts. PurpleDue is not liable for consequences arising from extracted information you confirm without correcting it, since confirmation is the point at which you take responsibility for the record's accuracy.
8. Follow-ups and Resolution
PurpleDue prepares draft follow-up messages and, where applicable, a Formal Payment Request, based on your invoice data and how overdue it is. You review, edit if you wish, and personally send each one — PurpleDue does not send anything to your clients automatically. When you mark a message as sent, that is your own record of having sent it; PurpleDue does not independently verify delivery or that your client received it.
9. No legal advice, no guarantee of recovery
PurpleDue's Resolution feature provides general information and calculation assistance about UK statutory late-payment interest and compensation. It does not provide bespoke legal advice, and using it does not create a solicitor-client or equivalent relationship. The “Formal Payment Request” it helps you prepare is not a Letter Before Action, a Letter Before Claim, a court filing, or any other formal legal notice, and it does not involve a solicitor. Where your situation is disputed, unusual, uncertain, or moving toward legal proceedings, you should get appropriate professional advice.
PurpleDue does not guarantee that any client will pay, that you will successfully recover a debt, or that any statutory interest or compensation shown will actually be recoverable in your particular circumstances.
10. Statutory late-payment information
The statutory calculations PurpleDue offers currently only support qualifying, GBP-denominated, business-to-business invoices, based on a periodically-verified UK reference-rate and compensation table. Invoices in another currency, invoices with a genuine dispute, invoices covered by your own contract's late-payment terms, and invoices outside this narrow supported context instead receive general information only, without implying that a debt in those categories lacks statutory rights — it simply means PurpleDue's current calculator does not cover it. This feature also does not address court procedure or the jurisdiction-specific processes of England & Wales, Scotland, or Northern Ireland. You are responsible for determining whether this information applies to your own circumstances and contract.
11. Subscription and billing
Included allowance. Your first three confirmed, unique receivables are included for the lifetime of your account, at no charge and with no card required. This is not a monthly allowance and does not expire.
Paid continuation. To confirm a fourth or later new receivable, you need an active subscription at £8.99 per month. There is no free trial; billing begins when you subscribe. If a new invoice arrives after your included allowance is used and you are not subscribed, PurpleDue will still receive and show it to you — it simply will not become a tracked receivable until you subscribe.
Cancellation. You can cancel at any time through your account's billing settings (via Stripe's Customer Portal). Cancellation takes effect at the end of your current billing period; we do not provide a partial refund for the remainder of a period already paid for.
Already-admitted receivables are never locked. Every receivable you have already confirmed — whether it was part of your free allowance or admitted while subscribed — remains fully usable through tracking, follow-ups, Resolution, and marking paid or closed, even if your subscription later lapses or you cancel. Cancelling only stops you from admitting further new receivables beyond your included three; it never takes away access to receivables already admitted.
Payment processing. Subscription payments are processed by Stripe. See the Privacy Policy for what we do and do not store about your payment method.
12. Acceptable use
You agree not to use PurpleDue to:
- submit an invoice you are not entitled to collect, or that belongs to someone else's business;
- harass, threaten, or mislead a client through a message you send using PurpleDue's drafts;
- attempt to collect a debt in a way that would be unlawful if you did it without PurpleDue; or
- abuse the invoice-handoff mailbox — for example, by sending spam, malware, or content that is not a genuine invoice.
13. Intellectual property
PurpleDue owns the PurpleDue software, branding, and product design. You retain ownership of the invoice and client data you submit; you grant us a limited licence to process it solely to provide the service to you.
14. Service availability
As a beta service, PurpleDue does not currently commit to a specific uptime guarantee. We aim to keep the service available and reliable, but we do not use beta status as a reason to disclaim responsibility for problems within our control — see “Disclaimers” for the specific, limited boundary that applies.
15. Suspension and termination
We may suspend or terminate your account if you breach these terms, use PurpleDue unlawfully, or abuse the invoice-handoff mailbox in a way that risks the service for other accounts. You may stop using PurpleDue, or cancel your subscription, at any time. If your account is closed, we retain your data as described in the Privacy Policy and will delete it on request.
16. Disclaimers
PurpleDue is provided on an “as is” and “as available” basis during this beta period. We do not guarantee that the service will be uninterrupted or error-free, that automatic invoice extraction will always be accurate, or that statutory calculations will be error-free or reflect the very latest rates if a required update has not yet been verified and published. Nothing in this section excludes or limits any liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or for fraud.
17. Limitation of liability
To the fullest extent permitted by law, PurpleDue's total liability to you arising out of or in connection with your use of the service, in any twelve-month period, is limited to the greater of £100 and the amount you paid PurpleDue in that period. We are not liable for indirect or consequential losses, including lost profits or lost business, arising from your use of the service. This does not affect any statutory rights you have that cannot lawfully be limited or excluded.
18. Indemnity
You agree to compensate us for any claim, loss, or cost we reasonably incur as a direct result of: (a) your breach of Section 4 (your authority over uploaded data), including submitting client information you were not entitled to share; or (b) your unlawful use of the service to pursue payment from a client. We have deliberately kept this narrow — it does not extend to ordinary use of PurpleDue as intended.
19. Governing law
These terms are governed by the laws of Scotland, and the Scottish courts have exclusive jurisdiction over any dispute arising from them, without prejudice to any mandatory consumer-protection rights you may have in your own country of residence.
This is PurpleDue's contractual choice of governing law for this beta, not a statement that Scots law is the only law capable of applying to you.
20. Changes to these terms
We may update these terms as PurpleDue develops. We will update the “last updated” date at the top of this page, and will highlight material changes — for example, to pricing or cancellation — more prominently.
